1. Agreement to Terms
By engaging TD Visual Solutions LLC (“we,” “us,” “our”) for services, you (“Client,” “you,” “your”) agree to be bound by these Terms of Service. Please read them carefully before proceeding.
If you do not agree to these terms, do not engage our services or use our website.
2. Services Provided
TD Visual Solutions provides the following professional services:
2.1 Core Services
- 3D Product Rendering – Photo-realistic visualization of products and packaging
- Video Production – Commercial video content, product demos, and marketing videos
- Photography – Professional product photography and marketing imagery
- Live Event Shooting – On-location event coverage and documentation
- Digital Marketing Consultation – Strategy, analytics integration, and campaign optimization
2.2 Service Scope
Each project engagement will be defined by:
- A detailed scope of work
- Specific deliverables
- Timeline and milestones
- Pricing and payment terms
- Revision allowances
All services are provided on a project-by-project basis unless otherwise specified in a separate agreement.
3. Project Timeline & Delivery
3.1 Standard Timeline
- Typical delivery: Within 2 weeks of project kickoff
- Timeline depends on:
- Project complexity
- Client response time for feedback
- Number and scope of revisions requested
- Availability of necessary materials/references
3.2 Revisions
- Included revisions: 2 rounds of revisions per project
- Revision scope: Changes within the original project scope
- Additional revisions: Quoted separately based on time and complexity
3.3 Rush Delivery
- Rush orders available for an additional 50% premium
- Rush timeline: 48-hour delivery from approval of final requirements
- Rush eligibility: Subject to current workload and project complexity
- Rush approval: Must be requested and approved before project begins
3.4 Client Responsibilities
Timely delivery requires:
- Prompt responses to revision requests
- Timely approval of deliverables
- Provision of all necessary materials, references, and assets
- Clear communication of requirements
Delays caused by client non-responsiveness may extend delivery timelines and are not eligible for refunds.
4. Pricing & Payment Terms
4.1 Payment Structure
- Deposit required: 50% of total project cost due upon contract signing
- Final payment: 50% due upon project completion and delivery
- No work begins until deposit is received
4.2 Accepted Payment Methods
- Check (made payable to TD Visual Solutions LLC)
- ACH bank transfer
- Credit card (processing fees may apply)
4.3 Payment Terms
- Due date: Net 30 days from invoice date
- Late payment: 2% monthly fee on overdue balances (24% APR)
- Collection costs: Client responsible for all collection costs, including reasonable attorney fees
4.4 Project Cost Changes
- Scope changes: Additional costs quoted and approved before work proceeds
- Out-of-scope requests: Evaluated case-by-case; may require additional fees
- Change order process: All scope changes documented and approved in writing
4.5 Expenses
Client responsible for pre-approved project expenses including:
- Stock assets or licenses
- Specialized equipment rental
- Travel costs (if applicable)
- Third-party services (voice-over, music licensing, etc.)
5. Cancellation & Refunds
5.1 Client Cancellation
- Before work begins: Full refund minus 10% administrative fee
- After work begins: No refund on deposit; client pays for completed work at hourly rate
- Cancellation notice: 60 days written notice required for ongoing retainer agreements
5.2 TD Visual Cancellation
We reserve the right to cancel or refuse service with 60 days written notice or immediately for:
- Non-payment or repeated late payments
- Abusive or harassing behavior
- Misrepresentation or fraud
- Illegal or unethical project requests
- Projects beyond our technical capabilities
5.3 Refund Process
- Refund calculation: Pro-rated based on work completed
- Refund timeline: Processed within 30 days of cancellation
- No refunds for: Completed and delivered work, approved deliverables, or client-caused delays
6. Intellectual Property Rights
6.1 Client Ownership
Upon full payment, the client receives:
- Full ownership of final deliverables
- Unlimited usage rights for any legal business purpose
- No geographic or time restrictions
- Right to modify (though we recommend consulting us for consistency)
Usage Restrictions: Client may not:
- Resell or redistribute our work as a standalone product to third parties
- Claim authorship or misrepresent that they created the work
- Use for illegal purposes including but not limited to adult content, fraud, or activities violating applicable law
- Use in ways that infringe third-party intellectual property rights
Attribution: While not required, credit or attribution is appreciated when showcasing our work publicly.
6.2 Source Files
- Final deliverables: Included in project cost (JPG, PNG, MP4, etc.)
- Source files: Not included by default (e.g., .blend, .psd, .aep files)
- Source file purchase: Available for additional fee upon request
6.3 TD Visual Solutions LLC Rights
We retain the right to:
- Portfolio use: Display work in portfolios, case studies, and marketing materials
- Public showcase: Feature projects on website and social media (unless restricted by NDA)
- Template/system ownership: Retain proprietary methods, templates, and workflows
6.4 Confidential Projects
If client requires non-disclosure:
- Must be specified in writing before project begins
- Separate NDA required
- May impact pricing (restricted portfolio rights)
6.5 Third-Party Assets
Client responsible for:
- Providing necessary usage rights for materials they supply
- Licensing of stock assets, fonts, music, etc. (if not provided by TD Visual)
- Indemnifying TD Visual against third-party IP claims related to client-supplied materials
7. Client Content & Materials
7.1 Client Representations
By providing materials, client represents that:
- They own or have rights to use all provided content
- Content does not violate any third-party rights
- Content does not contain illegal or defamatory material
7.2 Material Storage
- Project files retained: 90 days after final delivery
- Long-term storage: Available for annual fee
- Client responsibility: Maintain own backups of deliverables
8. Quality Standards & Approvals
8.1 Quality Commitment
We deliver professional-grade work that meets industry standards for:
- Technical quality (resolution, color accuracy, etc.)
- Professional presentation
- Alignment with approved specifications
8.2 Client Approval Process
- Client reviews and approves deliverables at specified milestones
- Approval signifies acceptance of work quality and scope
- Approved work cannot be rejected later without additional fees
8.3 Subjective Preferences
We will make reasonable efforts to accommodate stylistic preferences within the revision allowance. However, we cannot guarantee satisfaction with subjective elements if they fall outside the original scope.
9. Warranties & Disclaimers
9.1 Service Warranty
We warrant that:
- Services will be performed in a professional manner
- Deliverables will match approved specifications
- Work is original (except for client-supplied materials)
9.2 Limitation of Warranty
We do not warrant:
- Specific business results (sales, conversions, ROI)
- Third-party platform performance (website hosting, social media, etc.)
- Client misuse of deliverables
- Results from client modifications to our work
9.3 DISCLAIMER
SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
10.1 Liability Cap
Our total liability for any claim arising from our services is limited to the amount paid by the client for the specific project in question.
10.2 Excluded Damages
We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits or business opportunities
- Data loss (client responsible for backups)
- Third-party claims
- Force majeure events (natural disasters, pandemics, etc.)
10.3 Client Indemnification
Client agrees to indemnify and hold TD Visual Solutions LLC harmless from:
- Claims arising from client-supplied materials
- Client’s use of deliverables in ways that violate law or third-party rights
- Client misrepresentation or fraud
11. Confidentiality
11.1 Confidential Information
Both parties agree to protect:
- Proprietary business information
- Trade secrets and methods
- Customer data
- Pricing and financial information
- Project details (if specified as confidential)
11.2 Exclusions
Confidentiality does not apply to:
- Information already public
- Information independently developed
- Information required by law to disclose
- Portfolio usage (unless NDA in place)
12. Force Majeure
Neither party is liable for failure to perform due to circumstances beyond reasonable control, including:
- Natural disasters
- Pandemics or public health emergencies
- War or terrorism
- Government restrictions
- Internet/infrastructure failures
- Supplier failures
Timeline extensions granted for delays caused by force majeure events.
13. Dispute Resolution
13.1 Good Faith Negotiation
Parties agree to first attempt resolution through good faith negotiation.
13.2 Mediation
If negotiation fails, parties agree to mediation before pursuing litigation.
13.3 Governing Law
This agreement is governed by the laws of the State of Florida, without regard to conflict of law provisions.
13.4 Venue
Any legal action must be brought in the state or federal courts located in Martin County, Florida.
14. General Terms
14.1 Entire Agreement
These Terms, together with any signed project agreements, constitute the entire agreement between parties.
14.2 Amendments
Terms may be modified with written consent of both parties. Updated Terms posted on our website apply to new projects.
14.3 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
14.4 Waiver
Failure to enforce any provision does not waive the right to enforce it later.
14.5 Assignment
Client may not assign this agreement without our written consent. We may assign to affiliates or successors.
14.6 Independent Contractors
TD Visual Solutions LLC is an independent contractor, not an employee or agent of the client.
14.7 No Third-Party Beneficiaries
This agreement is between TD Visual Solutions LLC and the client only.
15. Right to Refuse Service
We reserve the right to refuse service to any client for any reason, including but not limited to non-payment, unreasonable demands, or projects that fall outside our expertise or values.
This includes, but is not limited to:
- Non-payment or credit issues
- Abusive, harassing, or threatening behavior
- Requests for illegal or unethical work
- Projects beyond our technical capabilities
- Conflicts of interest with existing clients
- Capacity constraints
Refusal of service does not obligate us to explain our reasoning, though we will make reasonable efforts to communicate our decision professionally.
16. Acceptable Use Policy
16.1 Prohibited Uses
Client agrees not to use our services for:
- Illegal activities or content
- Content promoting hate, violence, or discrimination
- Fraudulent or deceptive practices
- Spam or unsolicited marketing
- Malware or harmful code distribution
- Violation of third-party rights
16.2 Compliance
Client must comply with all applicable laws and regulations in their use of our deliverables.

18. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will:
- Be posted on this page with updated “Last Updated” date
- Apply to new projects entered into after the change date
- Not affect existing projects unless mutually agreed in writing
Continued engagement of our services after changes constitutes acceptance of modified Terms.
By engaging TD Visual Solutions for services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
